Precor's "Step Count Challenge Sweepstakes/Contest"
Official Rules 8/30/2006

THE FOLLOWING SWEEPSTAKES/CONTEST IS INTENDED FOR PLAY IN THE UNITED STATES ONLY AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO U.S. LAW. DO NOT ENTER THIS SWEEPSTAKES/CONTEST IF YOU ARE NOT A RESIDENT OF THE U.S. AT TIME OF ENTRY.

NO PURCHASE NECESSARY TO ENTER OR WIN PRIZE. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING DAILY PRIZES.

1) ELIGIBILITY: This Sweepstakes/Contest is offered only in the State of Nevada and is open only to legal residents of the United States, 21 years of age and older. The Contest is limited to 500 registrants for the Grand, First and Second prizes, but additional registrants can fill in an entry form to enter the daily prizes. Do not enter this Sweepstakes/Contest if you are not a legal resident of the United States. Employees of Precor Incorporated ("Sponsor"), WalkStyles, ISPA Resource Partners ("Partners") and prize providers, their respective parent, affiliate, subsidiary and related companies, advertising and promotion agencies, and the immediate families (spouse, and parents, siblings and children, and each of their respective spouses regardless of residence) and household members of each, whether related or not, are not eligible. Only Registered Contestants who record and upload 10,000 steps during one 24-hour period during the period 12:01 AM November 7, 2006 through 4:00 PM November 8, 2006 ("Contest") will be eligible to win the Contest Prizes. Void where prohibited.

2) HOW TO ENTER: No purchase necessary. For entry for the Daily Prizes, an entry card may be obtained at the Precor booth (#409) during the ISPA Expo hours of operation. For Contest Prizes, Contestants must register through www.walkstyles.com/stepcountchallenge.aspx. A computer kiosk will be available at the ISPA Expo during hours of operation for Contestant registration. DashTrak™ fitness monitors will be available to Registered Contestants from WalkStyles, Inc. (NOTE: No purchase is necessary to participate. WalkStyles, Inc. may require Registered Contestants to provide a valid credit card number to secure the return of its DashTrak™ fitness monitors. Registered Contestant authorizes WalkStyles, Inc. to charge such credit card $79.00 for those choosing Option 1 or $88.95 for those choosing Option 2 in the event that Registered Contestant does not return the DashTrak™ fitness monitor issued to him/her by 4:00 PM, November 8, 2006.) Limit one entry per person, per e-mail address, or per household address, regardless of method of entry.

3) DAILY PRIZES:

For the Drawing on November 9: One of two WalkStyles, Inc. DashTraks™ AVR $129 each; One of two Hay House Gift Certificates AVR $100 each; One Firming Body Care products kit AVR $301.50; One Solar Products kit AVR $301.50; One Vie Collection travel size pack AVR $268.50; One Vie Collection products kit AVR $654.50.

4) CONTEST PRIZES: One (1) Grand Prize: One (1) Precor EFX 576i Elliptical Crosstrainer including delivery and installation within the continental United States. Approximate Retail Value (ARV) of Grand Prize: $6,695

One (1) First Prize package includes conference registration for two to the "I Can Do It 2007" Conference scheduled for May 17-20 in Las Vegas, Nevada, domestic coach air fare for two, and 3-nights accommodations at the Venetian Hotel during the Conference at the Venetian Hotel and Resort. ARV of First Prize is $4,000

One (1) Second Prize package includes round trip airfare for two to Salt Lake City, 2 nights accommodations (at a local location to be determined by Phytomer in their sole discretion), round trip ground transportation between the destination airport and hotel, $50 per day per person for meals, $750 in spa treatments at Phytomer's spa treatment training center and a guest pass to the Sports Mall Health Club next door to Phytomer's headquarters ARV of Second Prize: $3,500

5) PRIZE RESTRICTIONS/CONDITIONS: All Prizes are non-transferable. No cash redemption or other prize substitution except by Sponsor, in their sole discretion if featured prize becomes unavailable. Grand Prize winner and guest must travel on the same itinerary and must be able to travel on date(s) and times determined by Sponsor or prize will be forfeited and awarded to an alternate winner. Winner is responsible for all taxes on all Prizes.

6) DRAWING: Random drawing to select the Daily Prize winners will be conducted by Sponsor, among all eligible entries received. The first Daily Prize drawing will be held on November 8th 2006 at 9:30 AM at the ISPA Conference Headquarters and winners will be announced at the beginning of the General Session at 4:00 PM on November 8th. The second Daily Prize drawing will be held on November 9th 2006 at 9:00 AM at the ISPA Conference Headquarters and winners will be announced at the beginning of the Closing General Session at 11:00 AM. The odds of winning will depend on the total number of eligible entries received from all entry methods combined. Random drawing to select the Grand Prize and First and Second Prize winners will be conducted by Sponsor, among all eligible entries received. The drawing will take place at 9:00 AM on November 9, 2006 at the ISPA Conference Headquarters. The odds of winning the Grand Prize or First or Second Prize will depend on the total number of eligible entries received from Registered Contestants recording and uploading 10,000 steps during the 24 hour period from 12.00 AM to midnight November 7, 2006, or 12:00 AM to 4:00 PM November 8, 2006 using a DashTrak™.

7) NOTIFICATION OF WINNERS/AWARDING OF PRIZES: If the winner of any prize is not present at the drawing, then the winner will be notified via telephone, e-mail and/or overnight delivery service and will be required to complete, sign, have notarized and return an Affidavit of Eligibility and Liability Release and, where lawful, a Publicity Release within the time specified on the prize notification or the prize may be forfeited and awarded to an alternate winner. If documents are not timely returned or if prize notification is returned as undeliverable, or if the First Prize winner cannot travel on the dates determined by the Sponsor, prize may be forfeited and awarded to an alternate winner. Minor guest must travel with parent or legal guardian. Travel guest, or if a minor, parent or legal guardian, will be required to sign and return a Liability Release and, where lawful, a Publicity Release prior to issuance of travel documents.

8) ADDITIONAL TERMS: By entering and/or accepting a prize, the Sweepstakes/Contest entrants agree to (a) abide by the Official Rules and the decisions of the judges and Sponsor which shall be final, and (b) to release, discharge and hold harmless Precor Incorporated, their respective parents, affiliates, subsidiaries and related companies, divisions, advertising and promotion agencies and the respective employees, directors and officers of the foregoing (collectively "Releasees"), from and against any/all claims, losses, injuries or damages, including death, resulting from participation in any contest portion of this Sweepstakes/Contest or the acceptance, use or misuse of any prize and/or participation in any prize related activities or any travel related thereto, and (c) allow Sponsor and/or its designees the use of the winner's and any travel companion's name, photos and/or likeness for promotion and publicity purposes without additional compensation except where prohibited by law. Any use of robotic, automatic, programmed or similar entry methods will void all such entries by such methods. CAUTION: Any attempt by an entrant or any other individual to deliberately damage any website or undermine the legitimate operation of the Sweepstakes/Contest is a violation of criminal and civil law and, should an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sweepstakes/Contest is governed by laws of the United States with venue in Seattle, WA for the resolution of all claims and disputes.

9) LIMITATIONS OF LIABILITY: Releasees are not responsible for any late, lost, illegible, incomplete, misdirected entries, stolen entries, nor are they responsible for incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Sweepstakes/Contest; any technical or human error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access of the web site; any injury or damage to participants or to any other person's computer(s) related to or resulting from participating in this Sweepstakes/Contest, or downloading materials from or use of the web site. If, for any reason the Sweepstakes/Contest cannot be conducted as planned by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes/Contest, the Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Sweepstakes/Contest and may conduct a drawing and select a winner from among all eligible entries received prior to the action taken. In no event will Sponsor and/or Releasees be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of access to and use of the web site www.precor.com/stepcount/register, or the downloading from and/or printing material downloaded from said site. Without limiting the foregoing, everything on the site is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow limitations or the exclusions of liability for incidental or consequential damages, or exclusion of implied warranties so some of the aforementioned limitations or exclusions may not apply.
